Binding Legal Agreement

User Responsibilities

Indemnification

You agree to indemnify, defend, and hold harmless Solstice, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit or transmit through our services
  • Your violation of any applicable laws or regulations

Maximum Liability Cap

In any event, the total liability of Solstice to you for all claims arising from or relating to these Terms or our services shall not exceed the amount you paid to Solstice for services during the twelve months preceding the claim, or one hundred U.S. dollars, whichever is greater.

Force Majeure

Solstice shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, telecommunications failures, internet outages, or other force majeure events.

Dispute Resolution and Governing Law

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Jurisdiction

Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Stockholm, Sweden. You irrevocably consent to the jurisdiction and venue of such courts.

Informal Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any disputes through good faith negotiations. Either party may initiate such negotiations by providing written notice to the other party describing the nature of the dispute.

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any additional agreements entered into for specific services, constitute the entire agreement between you and Solstice regarding the use of our website and services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed a continuing waiver or a waiver of any other right or provision, and any waiver must be in writing and signed by an authorized representative of Solstice.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction. Any attempted assignment in violation of this section shall be void.

Modification of Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of significant changes by posting the updated terms on this page with a new "Last reviewed" date. Your continued use of our services after such modifications constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue use of our services.

Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
